Terms of service
1. Introduction
These Terms and Conditions govern access to and use of www.injectablesupplies.co.nz (“Website”) and purchases made from Injectable Supplies Ltd (“Injectable Supplies”, “we”, “us” or “our”).
Injectable Supplies Ltd supplies needles, syringes and related consumables to eligible registered health professionals, authorised clinics and other approved professional customers.
Our products are available exclusively to customers with an approved professional account. We do not offer unrestricted public purchasing.
By applying for an account, accessing restricted account facilities or placing an order, you agree to comply with these Terms and Conditions.
These Terms should be read alongside our Privacy Policy, Shipping and Delivery Policy, and Returns and Refunds Policy.
2. Professional Account Approval
2.1 Mandatory Approval
All customers must obtain approval for a professional account before purchasing products.
Submitting an application does not guarantee approval. We may require verification of your identity, professional registration, qualifications, business details or authority to purchase before granting access to ordering facilities.
2.2 Eligible Customers
Eligible applicants may include registered health professionals, authorised healthcare clinics, medical practices and other professional customers who meet our eligibility requirements and are legally permitted to purchase the relevant products.
Eligibility may depend on the product, the customer's professional status and applicable New Zealand law.
2.3 Verification
We may request:
Full legal name and contact details.
Professional registration or qualification details, where applicable.
Clinic, practice or business information.
Evidence of relevant licensing or authorisation, where required.
Additional information reasonably necessary to verify eligibility.
You confirm that all information provided is accurate, complete and current.
We may undertake reasonable verification checks using lawful sources and request updated information when necessary.
2.4 Ongoing Eligibility
You must maintain any professional registration, qualification or authorisation required for your purchases.
You must notify us if your professional status or eligibility changes.
We may suspend, restrict or revoke an account where eligibility cannot be established, information is materially misleading or continued supply would create a legal, regulatory or product safety concern.
2.5 Account Security
You are responsible for maintaining the security of your account credentials.
Accounts must not be sold, transferred or shared with unauthorised persons. You must notify us promptly if you suspect unauthorised access or account misuse.
Where an account belongs to a clinic or business, the organisation is responsible for ensuring that its representatives are authorised to use it.
3. Permitted Purchases
Products are supplied for lawful professional purposes and must be purchased, handled, stored, distributed and used in accordance with applicable laws, product instructions and relevant safety requirements.
By placing an order, you confirm that:
Your professional account is approved.
You are legally eligible to purchase the products ordered.
You will use products for lawful purposes.
You will follow manufacturer instructions and applicable safety requirements.
You will not knowingly supply products to an unauthorised person or organisation.
Any onward supply will comply with applicable legal requirements.
Account approval does not override restrictions applicable to a particular product or transaction.
4. Product Information
We take reasonable care to ensure product descriptions, images, specifications and prices are accurate and current.
Product images may be illustrative, and packaging may change. Customers are responsible for checking product specifications, dimensions, compatibility and intended purpose before ordering.
Product information does not constitute medical advice, clinical advice or professional training.
If you require clarification about a product, please contact us before placing your order.
Nothing in this section excludes our obligations under applicable law.
5. Orders and Acceptance
All orders are subject to account approval, product availability, payment arrangements and acceptance by us.
An automated order acknowledgement confirms receipt but does not necessarily constitute acceptance.
We may decline, suspend or cancel an order where:
Your account is not approved or is no longer eligible.
Required verification information is incomplete.
A product is unavailable.
A material pricing or listing error has occurred.
Fraud or unauthorised purchasing is reasonably suspected.
We cannot lawfully fulfil the order.
If payment has been received for an order that we cancel, we will arrange any refund required by law or these Terms.
An order is accepted when we confirm acceptance or dispatch the products, whichever occurs first, unless otherwise agreed.
6. Pricing and Payment
Prices are displayed in New Zealand dollars unless stated otherwise.
Applicable GST, shipping charges and other fees will be disclosed before checkout is completed.
We may update prices for future orders. Changes will not alter the price of an accepted order except where permitted by law or agreed with the customer.
Payment must be made using an available payment method or another method agreed in writing.
Where a credit arrangement has been approved, payment must be made by the agreed due date.
We may delay dispatch while payment remains outstanding or additional verification is reasonably required.
7. Shipping and Delivery
We deliver to locations we service, as displayed on our website or agreed with the customer.
Delivery timeframes are estimates unless expressly agreed otherwise. We will take reasonable steps to fulfil orders promptly and communicate material delays where practicable.
Customers must provide accurate delivery details and ensure the delivery location is suitable for receiving the products.
Customers should inspect deliveries promptly and notify us of apparent damage, missing items or incorrect products as soon as reasonably practicable.
Risk in products passes in accordance with the applicable contract and New Zealand law. Nothing in these Terms transfers risk earlier than legally permitted or removes rights arising from loss or damage for which we remain responsible.
Further details are set out in our Shipping and Delivery Policy.
8. Product Handling and Safety
Following delivery, customers are responsible for appropriate storage, handling, security and disposal of products, subject to obligations that remain with us under applicable law.
Customers must:
Follow manufacturer storage and handling instructions.
Check packaging integrity and expiry information where applicable.
Protect products against damage and contamination.
Restrict access to authorised personnel.
Dispose of needles, syringes and other sharps in accordance with applicable requirements.
Avoid using products that are damaged, expired, contaminated, recalled or otherwise compromised.
Any suspected defect or safety concern should be reported to us promptly.
9. Returns and Refunds
We do not ordinarily accept returns or exchanges for change of mind, incorrect ordering, excess quantities or products no longer required.
This policy is subject to any rights or remedies that cannot lawfully be excluded.
Faulty, damaged, incorrectly supplied or otherwise non-compliant products will be assessed individually in accordance with applicable law.
Customers should contact us with their order number, product details, a description of the issue and supporting photographs or batch information where relevant.
Products must not be returned without contacting us for instructions, except where applicable law provides otherwise.
Due to product integrity, hygiene and safety considerations, opened, used, contaminated or improperly stored products may not be suitable for return to saleable inventory.
Where a return is authorised, we will provide instructions regarding packaging, shipping and any required documentation.
Nothing in this section excludes statutory rights under New Zealand law.
10. Product Recalls and Safety Notice's
We may withdraw or restrict products in response to manufacturer instructions, supply issues, safety concerns or regulatory requirements.
Customers must cooperate with reasonable and lawful recall or corrective-action instructions.
Where necessary, customers must provide relevant order, batch or lot information to support traceability.
Customers must not knowingly use or distribute recalled or unsafe products.
11. New Zealand Legal Compliance
Our business and transactions are subject to applicable New Zealand law, which may include the Consumer Guarantees Act 1993, the Fair Trading Act 1986, the Privacy Act 2020 and applicable medical device and product safety requirements.
Professional account approval does not automatically determine whether a customer is legally a consumer or a business customer.
We do not exclude or restrict any statutory rights where doing so would be unlawful.
Any business-to-business contracting-out arrangement must be separately and appropriately agreed in writing and satisfy all applicable legal requirements.
12. Warranties and Liability
Any manufacturer's warranty supplied with a product will be provided or referred to where applicable.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law.
Subject to applicable law, we are not liable for indirect or consequential loss where such loss may lawfully be excluded.
We are not responsible for losses arising from misuse, improper storage, failure to follow manufacturer instructions or unlawful onward supply, except to the extent that the loss results from our own breach of law or other liability that cannot lawfully be excluded.
13. Indemnity
To the extent permitted by law, customers are responsible for losses and reasonable costs directly arising from their unlawful use or onward supply of products, fraud or material breach of these Terms.
This does not apply to the extent that the relevant loss results from our own negligence, unlawful conduct or breach of obligations that cannot lawfully be excluded.
14. Privacy
We collect and use personal information for account verification, order processing, payment administration, delivery, customer service, fraud prevention and legal compliance.
Our handling of personal information is described in our Privacy Policy.
Customers should not submit patient-identifiable or unnecessary sensitive health information through the Website.
15. Intellectual Property
Website content, branding, logos, photographs, graphics and written materials are owned by us or used with appropriate permission unless otherwise stated.
Content may be used for lawful professional purchasing purposes but must not be reproduced or commercially exploited without permission, except as permitted by law.
16. Website Availability
We aim to maintain reliable Website access but do not guarantee uninterrupted availability.
Maintenance, technical failures, service interruptions and circumstances outside our reasonable control may affect Website operation.
We may modify or discontinue website features where reasonably necessary, subject to applicable law.
17. Account Suspension or Termination
We may suspend, restrict or terminate an account where reasonably necessary, including where eligibility cannot be verified, information is materially misleading, an account is misused, these Terms are materially breached or continued supply creates a safety or regulatory concern.
Where appropriate and lawful, we will notify the customer of the reason.
Termination does not remove accrued payment obligations or other rights and liabilities arising before termination.
18. Complaints and Disputes
Customers may contact us about complaints concerning orders, products, delivery, accounts or our services.
We will review complaints in good faith and may request additional information to investigate.
Where practicable, we will attempt to resolve disputes directly before formal proceedings are commenced.
Nothing prevents either party from exercising legal rights or making a regulatory report.
19. Third-Party Services
Our Website may use third-party payment processors, courier providers, hosting services and other external platforms.
Their services may be subject to separate terms and privacy policies.
Nothing in this section excludes responsibility that cannot lawfully be excluded.
20. Changes to These Terms
We may update these Terms to reflect changes to our business, products, Website, operating practices or legal requirements.
The current version will be published on our website with its effective date.
Changes apply from the stated effective date, subject to applicable law and any separate agreement governing an accepted order.
21. Governing Law
These Terms are governed by the laws of New Zealand.
Disputes will be dealt with under the laws and procedures applicable in New Zealand, subject to any mandatory rights or protections.
